Terms & Conditions

These Terms & Conditions govern your use of Ordira AI, a product of Veritas Global Technologies Ltd (RC No. 7950823). They are a legal agreement between you (the vendor) and Ordira AI. We have written them to be as clear and readable as possible. If something is unclear, please contact us before using the platform.

1. Acceptance of These Terms

By creating an account, connecting a WhatsApp Business number, or using any part of the Ordira AI platform, you confirm that you have read, understood, and agreed to be bound by these Terms & Conditions. If you are accepting on behalf of a business, you represent that you have the authority to bind that business to these terms.

If you do not agree with any provision of these Terms, please do not use the platform.

2. What Ordira AI Does

Ordira AI is a SaaS platform operated by Veritas Global Technologies Ltd (RC No. 7950823, Corporate Affairs Commission of Nigeria) that enables vendors to automate customer ordering conversations on WhatsApp and Instagram. Through our platform, vendors can configure their menus and business policies, connect their WhatsApp Business or Instagram account, and deploy an AI-powered assistant that responds to customers, takes orders, generates Paystack payment links, verifies payment, and notifies vendors when an order is confirmed and ready to fulfil.

The platform is built for any vendor who receives orders via WhatsApp or Instagram — including but not limited to restaurants, fashion, beauty, baked goods, electronics, and home goods businesses. It is not a general-purpose chatbot, a customer support platform, or a marketing broadcast tool. Any use outside the scope of order taking and related vendor communication is not permitted.

3. Account Registration and Security

To access the platform, you must register with accurate, truthful, and complete information. You are responsible for:

  • check_smallAll activity that occurs under your account, whether or not you authorised it
  • check_smallNotifying us immediately at hello@tryordira.com if you suspect unauthorised access to your account

Ordira AI reserves the right to suspend or terminate accounts that provide false registration information or that are used in violation of these Terms.

4. Connecting Your WhatsApp Business Account

To use the ordering assistant, you must connect a WhatsApp Business number through Meta's official API. By doing so, you:

  • check_smallConfirm that you are the authorised owner or administrator of that WhatsApp Business account
  • check_smallGrant Ordira AI permission to send and receive messages on your behalf through the connected number
  • check_smallAcknowledge that your use of WhatsApp through our platform is subject to Meta's WhatsApp Business Terms of Service and Platform Policies, which you accept independently

You can disconnect your WhatsApp number at any time from your dashboard. Disconnection stops all automated messaging immediately.

5. Acceptable Use

You agree to use Ordira AI only for lawful ordering and vendor communication purposes. You must not use the platform to:

  • check_smallSend unsolicited messages, spam, or promotional broadcasts outside of confirmed order conversations
  • check_smallHarass, threaten, mislead, or defraud customers
  • check_smallImpersonate another business, brand, or individual
  • check_smallViolate any applicable laws or regulations, including Nigerian consumer protection and data protection laws
  • check_smallCircumvent or attempt to reverse-engineer any part of the platform
  • check_smallUse the AI assistant to make false claims about pricing, availability, or product quality
  • check_smallSell counterfeit, prohibited, or illegal goods through the platform

We reserve the right to investigate suspected violations and to suspend access without prior notice where we believe a serious violation is occurring.

6. Your Menu Data and Content

You retain ownership of all content you upload to the platform, including menu items, descriptions, images, prices, and business policies.

By uploading this content, you grant Ordira AI a limited, non-exclusive licence to store, process, and transmit it for the sole purpose of operating your ordering assistant. We do not claim ownership of your menu or business data, and we do not use it to train AI models or share it with third parties outside the scope of operating your service.

You are responsible for ensuring that your menu and business content is accurate, up-to-date, and lawful. Ordira AI is not liable for incorrect prices, unavailable items, or misleading descriptions published through your configuration.

7. AI Behaviour and Limitations

The Ordira AI assistant is designed to operate strictly within the boundaries of your configured menu and business rules. It does not invent prices, create items that do not exist in your menu, or confirm payments without verification from Paystack.

However, AI systems are not infallible. You acknowledge that:

  • check_smallThe AI may occasionally misunderstand a customer's intent or produce an unexpected response
  • check_smallIt is your responsibility to monitor conversations and use the human handoff feature when the AI is not handling a situation appropriately
  • check_smallOrdira AI is not liable for losses arising from AI responses that you had the ability to correct through human intervention

You retain full control over your account and can disable the AI assistant or take over any conversation at any time.

8. Payments and Subscriptions

Access to Ordira AI's full features requires a paid subscription. By subscribing:

  • check_smallYou authorise us to charge your selected payment method at the start of each billing cycle
  • check_smallSubscription fees are billed monthly in advance and are non-refundable except where required by law or as described in our refund policy
  • check_smallIf your payment fails, we will attempt to collect it over a short grace period before suspending access to your account

Usage fees for paid orders above your plan's monthly limit are calculated and billed at the end of each billing period.

All payments are processed through Paystack. Ordira AI does not store or handle your payment card details.

9. Customer Data Responsibility

When customers interact with your ordering assistant, they share personal information such as their name, phone number, delivery address, and order preferences. This data is collected by Ordira AI on your behalf, and you are responsible for using it in accordance with applicable data protection laws.

You must not:

  • check_smallExport or use customer data for purposes unrelated to fulfilling orders placed through the platform
  • check_smallContact customers through channels outside of Ordira AI in ways they have not consented to
  • check_smallSell, share, or otherwise exploit customer contact information collected through the platform

Ordira AI's handling of this data is governed by our Privacy Policy.

10. Intellectual Property

All software, code, design, trademarks, and platform content produced by Ordira AI are the exclusive property of Ordira AI and are protected by copyright and other applicable intellectual property laws.

You are granted a limited, non-transferable licence to access and use the platform for your own business purposes during the period of your active subscription. This licence does not permit you to copy, redistribute, sublicense, or create derivative works from any part of the platform.

11. Service Availability

We aim to maintain high availability and reliability. However, we do not guarantee that the platform will be free from interruptions, errors, or downtime. Scheduled maintenance will be communicated in advance where possible.

Ordira AI is also dependent on third-party services including Meta's WhatsApp Cloud API and Paystack. Disruptions to these services may affect platform functionality, and we are not liable for outages outside our control.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Ordira AI, its directors, employees, and partners shall not be liable for:

  • check_smallLoss of revenue, profits, or business opportunities
  • check_smallLoss of data or corruption of data
  • check_smallIndirect, incidental, or consequential damages of any kind
  • check_smallDamages arising from your reliance on AI-generated responses

Our total liability to you for any claim arising out of your use of the platform shall not exceed the total subscription fees you paid to us in the three months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded by law.

13. Account Suspension and Termination

You may close your account at any time by contacting us at hello@tryordira.com or through your dashboard settings. Closing your account stops future billing and triggers the data deletion process described in our Privacy Policy.

We may suspend or permanently close your account without notice if:

  • check_smallYou violate these Terms in a material way
  • check_smallWe have reason to believe your account is being used for fraudulent or harmful activity
  • check_smallYour payment obligation remains unmet beyond the grace period
  • check_smallWe are required to do so by law or regulation

Where practical, we will give you advance notice and an opportunity to resolve the issue before taking action.

14. Changes to These Terms

We may update these Terms from time to time as the product evolves or legal requirements change. When we make material changes, we will notify you by email and display a prominent notice in the dashboard at least 14 days before the changes take effect.

Your continued use of the platform after that date constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you may close your account before the effective date.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from or relating to these Terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of Nigeria.
